Please read these Terms of Service carefully before using any service provided by KIDV Tech. By accessing our website, mobile applications, or engaging our IT services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of our services.

01 Acceptance of Terms

By using any website, application, or service provided by KIDV Tech, you confirm that:

  • You are at least 18 years of age and legally capable of entering into a binding agreement
  • If acting on behalf of a business, you have the authority to bind that business to these Terms
  • You have read, understood, and agree to all provisions stated in this document
  • You will comply with all applicable Indian laws and regulations while using our services
These Terms apply to all clients, website visitors, app users, and anyone who engages with KIDV Tech's services in any capacity.

02 Services Provided

KIDV Tech provides the following IT solutions and digital services to businesses and individuals:

  • ERPNext Implementation: Setup, customization, data migration, training, and ongoing support for ERPNext ERP software
  • HR, Payroll & Biometric: Complete employee management, attendance, salary processing, PF/ESIC compliance
  • AI Business Automation: Chatbots, OCR document processing, predictive analytics, workflow automation
  • Website Development: Corporate websites, e-commerce stores, landing pages, and web applications
  • Mobile App Development: Android and iOS applications for business operations
  • Cloud Hosting: Managed cloud infrastructure, server setup, maintenance, and monitoring
  • Digital Marketing: SEO, social media management, and online advertising (as contracted)

All services are subject to separate project proposals, scopes of work, and payment terms agreed upon prior to commencement of work.

03 Payment Terms

  • All prices are quoted in Indian Rupees (INR) unless explicitly stated otherwise in writing
  • GST (Goods and Services Tax) at the applicable rate will be charged on all invoices as per Indian tax law
  • Payment schedule (advance, milestone, final) will be defined in the project proposal
  • Standard advance payment of 50% is required before project commencement unless otherwise agreed
  • Remaining balance is due on project completion and before final delivery/deployment
  • Invoices are due within 15 days of issuance unless a different timeline is agreed in writing
  • Delayed payments beyond 30 days may attract an interest charge of 2% per month on the outstanding amount
  • Continued delay may result in suspension of active services and project delivery holds
All verbal or WhatsApp-based pricing discussions are informal. Only written proposals and signed agreements are legally binding.

04 Refund Policy

We are committed to delivering quality work. Our refund policy is as follows:

  • Before Work Commencement: Full refund of advance payment if project has not started and cancellation is requested within 48 hours of payment
  • After Work Has Started: No refund on work already completed. Refund for incomplete milestones will be assessed on a case-by-case basis
  • Annual Subscriptions / Hosting: No refund for used months. Unused remaining months may be refunded on a pro-rata basis at KIDV Tech's discretion
  • Change of Mind: No refund once development has commenced and deliverables have been shared for review
  • Quality Disputes: If work does not meet the agreed specifications, we will resolve it through revisions at no extra charge before any refund is considered

05 Intellectual Property

  • Client Ownership: All custom code, designs, and deliverables developed specifically for a client become the client's property upon receipt of full and final payment
  • KIDV Tech Ownership: Any pre-existing frameworks, templates, tools, or proprietary components used in delivery remain the intellectual property of KIDV Tech
  • Open Source: Where open-source software (e.g. ERPNext/Frappe) is used, it remains governed by its original open-source license (MIT/GPL)
  • Portfolio Rights: KIDV Tech reserves the right to reference your project name, logo, and general description in our portfolio, case studies, and marketing materials unless you request otherwise in writing
  • No Unauthorised Use: You may not resell, redistribute, or sub-license deliverables to third parties without prior written consent from KIDV Tech

06 Client Responsibilities

To ensure successful project delivery, clients are expected to:

  • Provide accurate, complete, and timely information, content, and business requirements as requested
  • Designate a primary point of contact who has decision-making authority for the project
  • Provide timely feedback and approvals within the agreed review windows (typically 5 working days)
  • Ensure all content, images, and data provided does not infringe upon third-party copyrights or trademarks
  • Maintain confidentiality of login credentials, API keys, and system access provided by KIDV Tech
  • Not use our services for any illegal, fraudulent, harmful, or unethical purposes
  • Make payments on time as per the agreed schedule to avoid project delays
Project delays caused by late client feedback, pending content, or missing approvals will not be counted against KIDV Tech's delivery timeline.

07 Data & Confidentiality

  • All business data, financial records, employee data, and operational information shared with KIDV Tech is treated as strictly confidential
  • KIDV Tech will not share, disclose, sell, or misuse client data under any circumstances
  • All data entered into systems deployed by KIDV Tech remains the exclusive property of the client
  • On project completion or termination, clients may request a full data export in a standard format within 30 days
  • KIDV Tech staff who handle sensitive client data are bound by internal confidentiality agreements

08 Support & Maintenance

  • Free Support Period: A free support period is included with every project as specified in the proposal (typically 1-6 months depending on project type)
  • Scope of Support: Free support covers bug fixes, minor configuration changes, and guidance on using delivered features
  • Excluded from Free Support: New feature development, design changes, third-party integration issues, and issues caused by client-side modifications
  • Post-Support Maintenance: Annual maintenance contracts (AMC) are available at separately agreed rates after the free support period ends
  • Response Times: Business hours are Monday to Saturday, 9:00 AM to 7:00 PM IST. Critical issues are addressed on priority; general queries within 24-48 hours
  • Emergency Support: 24/7 emergency support is available for critical production issues and may attract additional charges outside AMC

09 Limitation of Liability

To the maximum extent permitted by applicable Indian law, KIDV Tech shall not be held liable for:

  • Data loss or corruption due to third-party hosting provider failures, natural disasters, or force majeure events beyond our direct control
  • Business losses, lost profits, or consequential damages arising from system downtime or service interruptions
  • Unauthorised access by third-party attackers despite reasonable security measures being in place
  • Errors or losses arising from incorrect information or data provided by the client
  • Compatibility issues with third-party software, hardware, or APIs outside the agreed project scope
In all cases, KIDV Tech's maximum aggregate liability shall not exceed the total fees paid by the client for the specific service in the 12 months preceding the claim.

10 Termination

  • By Client: Clients may terminate a service agreement with 30 days written notice. All outstanding payments for work completed to date become immediately due
  • By KIDV Tech: We reserve the right to terminate or suspend services immediately in cases of non-payment (beyond 30 days), material breach of these Terms, or use of our services for illegal purposes
  • Upon Termination: We will provide a handover of all completed deliverables and data exports within 15 working days of final payment being received
  • Hosting Services: Termination of hosting services requires 30 days notice to allow for data migration. Failure to migrate within this window may result in data deletion

11 Governing Law & Disputes

These Terms of Service are governed by and construed in accordance with the laws of India, specifically:

  • The Information Technology Act, 2000 and its amendments
  • The Indian Contract Act, 1872
  • The Consumer Protection Act, 2019 (where applicable)
  • GST and applicable tax regulations under Indian law

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.

We strongly encourage resolution of disputes through direct discussion and mutual agreement before pursuing any legal action. Please contact us first — most issues can be resolved quickly and amicably.

12 Changes to These Terms

KIDV Tech reserves the right to update or modify these Terms of Service at any time to reflect changes in our business practices, services, or applicable laws. When we make changes:

  • The "Last Updated" date at the top of this page will be revised
  • Active clients under contract will be notified by email for any material changes
  • Continued use of our services after changes are posted constitutes acceptance of the revised Terms
  • If you disagree with updated Terms, you may terminate your service agreement with 30 days written notice
